Board Elections Committee Charge

Purpose and Scope

The DAMA International Elections Committee is a standing committee of the Board of Directors established pursuant to Section 3.9.4 of the by-laws "to manage the annual election process, including soliciting nominees, verifying nomination and nominee acceptance, and verifying election results."

Composition

The election committee consists of two positions specified in the by-laws:

  • Past President (Chair),
  • Presidents Council Representative(s),

And additional volunteers appointed and designated by the Board of Directors.

If the Past President is unavailable to serve, the Chair of the Elections Committee shall be appointed by the Board of Directors.

Responsibilities

  • Develop and maintain election procedures consistent with the association's by-laws and governance policies.
  • Oversee the nomination process, including soliciting nominations, verifying eligibility of candidates, and ensuring compliance with nomination requirements.
  • Publish and manage the election timeline, including setting deadlines for nominations, campaigning, and voting.
  • Coordinate the preparation and distribution of election materials, including candidate statements, ballots, and voting instructions.
  • Ensure the confidentiality, integrity, and security of the election process, including the handling and counting of ballots.
  • Address any disputes, challenges, or irregularities that arise during the election process, in accordance with established procedures.
  • Certify and announce the results of elections to the membership and the Board of Directors.
  • Provide recommendations for improvements to the election process based on feedback and lessons learned.

Meetings and Reporting

  • The Elections Committee shall meet regularly throughout the election cycle as determined by the Chair or as necessary to fulfill its responsibilities.
  • Meetings may be conducted in person, via teleconference, or virtually, as determined by the committee.
  • The Chair of the Elections Committee shall provide regular reports to the Board of Directors on the committee's activities, progress, and any issues encountered during the election process.

Confidentiality and Impartiality

  • Members of the Elections Committee shall maintain strict confidentiality regarding matters discussed and decisions made during the election process.
  • Committee members shall exercise impartiality and refrain from engaging in activities that could be perceived as biased towards any candidate or slate of candidates.

Conflict of Interest

Committee members shall disclose any potential conflicts of interest related to the election process and abstain from participating in decisions where a conflict exists.
