The new bylaws introduce several key changes designed to enhance the governance and operation of DAMA International. Here are the major changes:

Governance Structure

  • Significant changes, including introducing new governance positions and committees to better manage the organization.

  • An annual meeting of the Individual Professional Members and designated representatives of the Member Chapters.

  • Transitioning from an operational to a strategic board of directors.

  • The appointment of an Executive Director (CEO) with primary responsibility for managing day-to-day operations and ensuring the organization is achieving the goals set by the board.

  • The establishment of a Certification Council and Editorial Board responsible, subject to the Board’s approval, for maintaining the certification program and developing and publishing certification standards and processes.

  • The possibility of establishing Regional Councils of Member Chapters and their roles in supporting DAMA International in their specific geographic regions.

Membership Criteria and Rights

Defines Individual Professional Member and Chapter Member as the only two classes of Members with voting rights.

Election and Voting Procedures

  • Revised procedures for elections and voting to enhance transparency and member participation.
  • As before, a staggered election cycle for board members. All positions will be available for election across a three-year cycle.

  • Clarification on the role of the Governance and Nominations Committee in managing the annual election process.
